Mr. Gandhi is a Managing Director with approximately 20 years of experience providing financial and strategic advisory services to management and shareholders of public and private companies, including exclusive sale assignments, acquisitions, divestitures, public debt and equity offerings, private debt and equity placements as well as various other strategic advisory engagements.Since joining Brookwood in 2011, Mr. Gandhi has focused on mergers and acquisitions related advisory services within the Consumer & Retail sector, specifically with companies in the Restaurant, Retail, Health & Wellness and Active Living industries. Additionally, Mr. Gandhi has a great breadth of experience working with franchised companies across these industries (both franchisors and multi-unit franchisees).Prior to joining Brookwood, Mr. Gandhi was a Vice President with Bank of America Merrill Lynch’s (“BAML”) investment banking division in New York. Prior to joining BAML, Mr. Gandhi worked as an analyst in the investment banking division of Wachovia Securities.
Matt is a partner in the Corporate & Securities and Real Estate practice groups, and is the leader of the firm’s Private Equity practice. Matt works with private equity and real estate funds, institutional limited partners, family offices, investors, entrepreneurs, operators and developers to bring deals together from both a legal and business perspective.Clients rely on him to guide them through critical business milestones such as the formation of joint ventures, acquisitions, dispositions, private offerings and syndications. He is experienced in the drafting and negotiation of complex partnership/operating agreements for corporate and real estate investments and executes upon a variety of transactions and financings.Matt’s private equity practice is enhanced through positions he has held at operating companies and investment firms. He served as general counsel and chief credit officer for a privately-held business with operations in over 40 states. He was also previously associated with a large, international Atlanta-based law firm. Prior to law school and business school, Matt worked in the financial sector at Morgan Stanley and SunTrust Capital Markets Inc.
Tom is a co-founder and Managing Partner of 10 Point Capital, a private equity firm focused on helping founders create dominant franchise brands. Tom has invested in several great brands, including Tropical Smoothie Café, Slim Chickens, and Phenix Salon Suites. Previously, Tom was on the investment team at BIP Capital where he invested in the franchise, technology, and healthcare industries. Prior to BIP Capital, he worked for Century Park Capital Partners, a Los Angeles based private equity group focused on the lower middle market. Tom began his career in the San Francisco office of Harris Williams & Co, a leading middle market investment bank.
